Asset sale or stock sale?

Why the structure matters to both sides

Buyers usually prefer asset purchases; sellers usually prefer stock sales. Both have good reasons.

An asset purchase lets a buyer choose which liabilities to take on and often gives better tax treatment. A stock sale is simpler to transfer and can be more tax-efficient for the seller.

The right answer depends on contracts, licences, tax and risk, and the price should reflect whichever structure is chosen.
